Who this agreement is between
This agreement is between ScopeAgreed Ltd, a company registered in England and Wales under company number 17007144 with its registered office at 24 Haswell Close, Gateshead, NE10 8UE, and you, the person or business creating the account. If you are signing up on behalf of a studio or agency, you confirm you have authority to bind it.
Your clients, who approve or decline change requests by email, are not party to this agreement and are not charged for using ScopeAgreed.
ScopeAgreed is not currently available to businesses based or billed in the United States or Canada, and you confirm your business is not. If that describes you, email info@scopeagreed.com and we will let you know when this changes.
What ScopeAgreed does
ScopeAgreed lets you record a signed project baseline, log changes to it, send those changes to your client for approval, and keep a dated record of every decision. It also tracks goodwill, milestones and reporting across your projects.
ScopeAgreed is a record-keeping and approval tool. It is not legal advice, and an approval recorded in ScopeAgreed does not replace the contract between you and your client. In most cases it will be strong evidence of what was agreed, but whether it is binding depends on that contract and the law that applies to it.
Your account
- You must be at least 18 and provide accurate details.
- You are responsible for keeping your password secure and for everything done under your account.
- Team members you invite act on your behalf. You are responsible for their use of the service.
- Tell us straight away at info@scopeagreed.com if you think your account has been compromised.
Free trial, plans and billing
- Every plan starts with a 14-day free trial. No card is needed and nothing is charged unless you choose a plan.
- Plans are priced per active project, as described on the pricing page. A project is active from the day its baseline is sent until you mark it complete.
- Subscriptions are billed monthly or annually in advance and renew automatically until cancelled.
- You can upgrade, downgrade or cancel at any time from Settings. Downgrades and cancellations take effect at the end of the current billing period. We do not give partial refunds for unused time, except where the law requires it.
- Prices exclude VAT where applicable. If we change prices, we will give you at least 30 days' notice before the new price applies to you.
- If a payment fails we will retry and email you. If it still fails after 14 days we may suspend the account until it is settled.
Your content and data
Everything you put into ScopeAgreed (baselines, change requests, documents, client details) remains yours. You give us a licence to store, process and display it only as needed to provide the service.
You are responsible for your content, including having the right to share your clients' details with us. You must not upload anything unlawful, infringing or harmful.
We may use data from across the platform in aggregated and anonymised form to produce statistics, benchmarks and industry insights, for example the typical rate of scope change on projects of a given type. Anything we publish or share this way is combined across many accounts, stripped of names, free text and anything else that could identify you, your business or your clients, and is never presented for groups small enough to point back to anyone. Your individual records are never sold and never shared in identifiable form.
You can export your data at any time from Settings. How we handle personal data is set out in the privacy policy, which forms part of these terms.
Acceptable use
Please do not:
- Use ScopeAgreed to send unsolicited or misleading approval requests.
- Try to access other customers' accounts or data.
- Reverse engineer, scrape or resell the service.
- Interfere with the service or its security.
- Use it for anything unlawful.
If you do, we may suspend or close your account. We will tell you why unless we are legally prevented from doing so.
Availability and support
We aim to keep ScopeAgreed available at all times but cannot promise it will never be interrupted. We will give notice of planned maintenance where we can. Support is provided by email and through the in-app support centre, Monday to Friday, 9am to 5pm UK time. Agency plans include priority support.
Our intellectual property
ScopeAgreed, its software, design, name and knot mark belong to ScopeAgreed Ltd. These terms give you the right to use the service; they do not transfer ownership of any of it. If you send us feedback or ideas, we can use them without obligation to you.
Liability
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law.
Otherwise, our total liability to you for anything arising out of this agreement in any 12-month period is limited to the fees you paid us in that period. We are not liable for loss of profit, loss of business, or indirect or consequential loss, including any dispute between you and your client about what was or was not agreed.
The service is provided as described on our website. Beyond that, we exclude all implied warranties to the extent the law allows.
Ending this agreement
You can close your account at any time from Settings. We may close your account on 30 days' notice for any reason, or immediately if you seriously breach these terms. After closure your data is kept for 90 days so you can export it, then deleted as described in the privacy policy.
Changes to these terms
We may update these terms. For material changes we will email account holders at least 30 days before they take effect. If you keep using ScopeAgreed after that date, the new terms apply. If you do not agree, you can close your account before they take effect.
Governing law
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction, except that if you are a consumer living in Scotland or Northern Ireland you may bring proceedings in your local courts.
